Smart Supervisor App (Web & Mobile Application)

1. Introduction and Acceptance
These Terms and Conditions (“Terms”) govern access to and use of the Smart Supervisor App (including web platform and mobile application), operated by Techguard Digital Solutions Pvt Ltd (“Company”).
By accessing, registering, or using the application, the user (“Client” / “User”) agrees to be legally bound by these Terms. If the User does not agree, they must discontinue use immediately.
2. Scope of Services
The Company provides a workforce management platform including, but not limited to:
Attendance and workforce tracking
QR-based monitoring and verification
Reporting dashboards
Field staff management tools
Hosting, maintenance, and support (if included in subscription)
Any additional customization, integrations, or enhancements shall be subject to separate commercial agreements.
3. Subscription, Billing, and Payment Terms
3.1 All services are provided strictly on a paid subscription basis (monthly / quarterly / yearly).
3.2 All payments are required to be made 100% in advance before the commencement or renewal of the subscription period.
3.3 The applicable fees, billing cycle, and due dates shall be specified in the invoice issued by the Company.
3.4 A maximum grace period of 7 (seven) days from the due date may be provided at the sole discretion of the Company.
3.5 Failure to make payment within the stipulated timeline shall result in consequences as defined in Clause 4.
4. Non-Payment, Suspension, and Termination
4.1 In case of non-payment beyond the grace period, the Company reserves the absolute right to:
Suspend access to the application (web and mobile)
Disable features partially or fully
Stop support, updates, and server services
4.2 Suspension of services may continue for a maximum period of 30 (thirty) days from the due date.
4.3 If payment is not received within this suspension period:
The Company reserves the right to permanently terminate services
Delete all User data from its systems
Delist or disable the application (including white-labeled versions)
4.4 Data deletion and app delisting may be executed after 60 (sixty) days from the original due date without any further notice.
4.5 The Company shall not be liable for any loss, damage, or consequences arising from such suspension, termination, or deletion.
5. Strict No Refund Policy
All payments made to the Company are non-refundable under any circumstances, including but not limited to:
Partial usage or non-usage of services
Dissatisfaction with features
Business closure or change in requirements
Termination due to violation of Terms
No credits, adjustments, or carry-forwards shall be provided.
6. White-Label Licensing Terms
6.1 The Company may provide white-label access allowing the User to use the application under their own branding.
6.2 Such access is granted strictly as a limited, revocable, non-transferable license.
6.3 The User acknowledges that:
The ownership of the software, code, architecture, and system remains exclusively with the Company
White-label usage does not grant any ownership rights
6.4 The User shall not:
Resell, sublicense, or distribute the software without written permission
Claim ownership of the core technology
Use the software for building competing solutions
6.5 White-label access shall be automatically revoked upon non-payment or termination.
7. Intellectual Property Rights
All intellectual property rights, including but not limited to software code, UI/UX, databases, processes, and system architecture, shall remain the sole property of the Company.
The User is granted only a limited right to use the application during an active subscription period.
Any unauthorized use, reproduction, or reverse engineering shall result in immediate termination and legal action.
8. Data Ownership and Responsibility
8.1 The User retains ownership of the data entered into the system.
8.2 The Company processes and stores such data solely for service delivery purposes.
8.3 The User is solely responsible for:
Accuracy of data
Maintaining backups (unless explicitly agreed otherwise)
8.4 The Company shall not be responsible for:
Data loss due to system failure
Data loss after suspension or termination
Data misuse by User’s employees or third parties
9. Service Availability and Support
9.1 The Company does not guarantee uninterrupted or error-free service.
9.2 Scheduled maintenance, upgrades, or unforeseen technical issues may cause temporary downtime.
9.3 Support shall be provided as per Company policy and may vary based on subscription level.
10. Third-Party Services
The application may integrate with third-party services such as SMS gateways, APIs, cloud hosting, or maps.
The Company:
Does not control such services
Shall not be liable for their failures, delays, or changes
May pass on applicable charges to the User
11. Limitation of Liability
To the maximum extent permitted by law:
The Company shall not be liable for any indirect, incidental, or consequential damages
The Company shall not be liable for loss of business, revenue, profits, or data
The total liability of the Company shall not exceed the amount paid by the User for the current billing cycle
12. User Obligations and Restrictions
The User agrees not to:
Use the application for unlawful or fraudulent purposes
Attempt unauthorized access to systems
Interfere with system integrity or performance
Violation of this clause may result in immediate termination without notice.
13. Termination
The Company reserves the right to terminate services:
For non-payment
For breach of Terms
At its sole discretion in case of misuse
Upon termination:
Access will be revoked immediately
Data may be deleted as per Clause 4
14. Modification of Terms
The Company reserves the right to modify these Terms at any time.
Continued use of the application shall be deemed acceptance of updated Terms.
15. Governing Law and Jurisdiction
These Terms shall be governed by the laws of India.
All disputes shall be subject to the exclusive jurisdiction of courts located in Palghar, Maharashtra.
